Musical Nexus

These Terms of Service (“Terms”) govern your access to and use of Musical Nexus (the “Site”), which is operated from Australia. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Eligibility

You must be at least 13 years old to use the Site. If you are under 18, you must have the consent of a parent or legal guardian. By using the Site, you represent that you meet these requirements.

Your Account

You are responsible for all activity under your account.
Keep your password confidential and notify us promptly of any unauthorised use.
Provide accurate information when registering and keep it up to date.
One person per account; do not share, sell, or transfer your account.

Your Content

You retain ownership of the songs, comments, images, and other content you submit (“User Content”). By submitting User Content, you grant Musical Nexus a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, adapt (for example, to generate previews or thumbnails), and distribute your User Content for the purpose of operating and promoting the Site. This licence ends when you remove your content, except that we may retain backup copies for a reasonable period and may continue to display content that others have shared or incorporated into discussions.

You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not infringe the rights of any third party.

Acceptable Use

You agree not to:

Post content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit involving minors, or that promotes violence or illegal activity.
Impersonate any person or entity, or misrepresent your affiliation with one.
Upload malware or otherwise attempt to disrupt, damage, or gain unauthorised access to the Site, its users, or its infrastructure.
Circumvent or attempt to circumvent moderation, rate limits, bans, or access controls.
Scrape, spider, or otherwise harvest data from the Site without our prior written consent, except through tools we expressly provide (for example, RSS feeds).
Use the Site to send unsolicited commercial messages in contravention of the Spam Act 2003 (Cth), or any other unsolicited advertising or bulk messaging.
Reverse engineer, decompile, or attempt to extract the source code of the Site, except where expressly permitted by law.

Copyright and Takedowns

Musical Nexus respects the intellectual-property rights of others and expects its users to do the same. If you believe content on the Site infringes your copyright under the Copyright Act 1968 (Cth) (or under the copyright law of your jurisdiction), please send a written notice to the site administrators containing:

Your name, address, and contact details (and, if you are acting as an agent, the details of the rights holder).
Sufficient information to identify the copyright work (including title and, where applicable, a link to the original).
The URL(s) of the allegedly infringing content on the Site.
A statement that you believe in good faith that the material is used without authority from the copyright owner, its agent, or the law.
A statement that the information in the notice is true and correct, and that you are authorised to act on behalf of the rights holder.
Your signature (electronic is acceptable).

We will respond to valid notices in accordance with applicable law, which may include removing the content and terminating the accounts of repeat infringers. If you believe content you posted was removed in error, you may submit a counter-notice using the same contact method.

Moderation

We may, but are not obliged to, review, edit, remove, or reject any User Content, and we may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the community. Moderation actions are discretionary and do not oblige us to take any particular action in other cases.

Third-Party Content and Games

Musical Nexus is a fan-run community for music notated in MML and related formats, including music for games such as Mabinogi. Game titles, characters, and assets are the property of their respective owners. Musical Nexus is not affiliated with or endorsed by any game publisher unless explicitly stated.

Termination

You may stop using the Site at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or if we reasonably believe termination is necessary to protect the Site or its users. Provisions that by their nature should survive termination will do so, including intellectual-property, disclaimer, and limitation-of-liability clauses.

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other applicable law that cannot lawfully be excluded. If you are a “consumer” for the purposes of the Australian Consumer Law, you have rights that are not excluded by these Terms.

Disclaimers

To the extent permitted by law, and subject to the Australian Consumer Law clause above, the Site is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the extent permitted by law, and subject to the Australian Consumer Law clause above, Musical Nexus and its operators will not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, or any loss of profits, data, or goodwill, arising from or related to your use of the Site. Where our liability cannot be excluded but can be limited, our liability for a breach of a non-excludable consumer guarantee is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied. Our total aggregate liability for any other claim arising from the Site will not exceed AUD $100.

Indemnification

You agree to indemnify and hold harmless Musical Nexus and its operators from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Site, your User Content, or your breach of these Terms, except to the extent caused by our negligence or wilful misconduct.

Changes

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, where the changes are material, provide more prominent notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws in force in the Commonwealth of Australia. You and we submit to the non-exclusive jurisdiction of the courts of Australia for the resolution of any dispute arising out of or in connection with these Terms or your use of the Site.
